Amendments to the Code of Conduct
On April 23, 2004, the Arch Code of Conduct was amended to ensure compliance with New York Stock Exchange rules. These amendments make the Code of Conduct applicable to members of the Board of Directors in their capacity as such, make clear employees have an obligation of fair dealing with others, and clarify that corporate opportunities belong to the company.
On September 1, 2005, we at Arch amended the "Avoiding Conflicts of Interest" section of our Code of Conduct (page 18 of the printed Code) to add the following additional examples of conflicts of interest:
| • Engaging in a romantic relationship with another employee with whom he or she is in a supervisory or reporting relationship (i.e. anyone in the supervisory chain). |
| • Engaging in a romantic relationship with an employee of a supplier or vendor where the Arch employee has a major influence in the supplier/vendor selection decision. |
On July 19, 2006, the Code of Conduct was amended to reflect that a few non-U.S. countries prefer that callers identify themselves when reporting concerns to the Arch Help-Line.
